If you are using Cogna on behalf of a company or other organization, you represent that you have the authority to accept these Terms on that organization's behalf.

1. Using Cogna

You may use Cogna only in compliance with these Terms and all applicable laws and regulations.

You are responsible for:

  • Providing accurate and up-to-date account information.

  • Maintaining the security of your account credentials.

  • Keeping your integrations and connected services properly configured.

  • Ensuring that your use of Cogna complies with applicable laws.

  • All activity that occurs through your account.

You must not use Cogna to violate laws, infringe the rights of others, distribute malicious software, interfere with the operation of the platform, or attempt to gain unauthorized access to our systems.

2. Accounts & Eligibility

Certain features require you to create an account. You are responsible for keeping your account information accurate and maintaining the confidentiality of your login credentials.

You may not share your account credentials with unauthorized individuals or create accounts for fraudulent or abusive purposes.

If you are using Cogna on behalf of an organization, your organization may be responsible for the actions of users operating under its account.

3. Subscriptions & Payments

Certain Cogna features require a paid subscription.

Billing:
Subscription fees are charged according to the pricing and billing cycle selected when you subscribe.

Renewals:
Unless canceled, subscriptions may automatically renew for the applicable billing period.

Changes to Plans:
You may upgrade or change your subscription according to the options available through your account. Changes may affect your billing immediately or at the beginning of the next billing period.

Taxes:
You are responsible for applicable taxes, duties, or other governmental charges associated with your subscription.

Refunds:
Unless otherwise stated in your subscription agreement or required by applicable law, payments are generally non-refundable.

4. Your Content & Data

You retain ownership of the content, data, workflows, configurations, and other materials that you submit to Cogna ("Customer Content").

You grant Cogna the limited rights necessary to host, process, transmit, and otherwise use Customer Content solely to provide, maintain, secure, and improve the Services.

You are responsible for ensuring that you have the necessary rights and permissions to submit your content and data to Cogna.

Cogna does not claim ownership of your Customer Content.

5. AI Services

Cogna may provide access to artificial intelligence models, agents, and AI-powered features.

AI-generated results may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing and validating AI-generated output before relying on it, particularly when it may affect important business, financial, legal, medical, or operational decisions.

Cogna does not guarantee that AI-generated content will always be accurate, unique, complete, or error-free.

6. Third-Party Integrations

Cogna may allow you to connect third-party applications, APIs, databases, and other services.

Your use of third-party services is governed by their respective terms and privacy policies. Cogna is not responsible for the availability, security, functionality, or content of third-party services.

You authorize Cogna to access connected services only to the extent necessary to provide the functionality you have enabled.

7. Intellectual Property

Cogna and its underlying technology, software, designs, trademarks, content, and other materials are owned by Cogna or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, reverse engineer, sell, or create derivative works from the Services or any part of them.

These Terms do not grant you ownership of Cogna's intellectual property.

8. Acceptable Use

You agree not to use Cogna to:

  • Violate applicable laws or regulations.

  • Infringe intellectual property, privacy, or other rights.

  • Attempt unauthorized access to Cogna or third-party systems.

  • Introduce malware, viruses, or other harmful code.

  • Interfere with or disrupt the Services.

  • Circumvent usage limits or security controls.

  • Use the Services for fraudulent, abusive, or deceptive activities.

  • Build a competing service by improperly accessing or extracting Cogna's systems or data.

We may suspend or restrict access where we reasonably believe these restrictions are necessary to protect Cogna, our users, or third parties.

9. Service Availability

We work to keep Cogna reliable and available, but we do not guarantee that the Services will always be uninterrupted, secure, or error-free.

The Services may occasionally be unavailable because of maintenance, upgrades, technical issues, third-party services, or circumstances outside our reasonable control.

Enterprise customers may have additional availability commitments under a separate service-level agreement.

10. Confidentiality

Each party may receive confidential information from the other in connection with the Services.

The receiving party agrees to use reasonable measures to protect confidential information and to use it only for purposes related to the relationship between the parties.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

11. Termination

You may stop using Cogna or cancel your subscription at any time according to the applicable cancellation process.

We may suspend or terminate access to the Services if you materially violate these Terms, create security risks, engage in unlawful activity, or fail to pay applicable fees.

Upon termination, your right to use the Services will end. Certain provisions of these Terms, including intellectual property, payment obligations, disclaimers, limitations of liability, and dispute provisions, may continue to apply after termination.

12. Disclaimers

To the maximum extent permitted by law, Cogna provides the Services on an "as is" and "as available" basis.

We do not guarantee that the Services will meet every requirement, operate without interruption, or produce completely accurate or reliable results.

You are responsible for determining whether Cogna is appropriate for your particular use case.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Cogna and its officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.

Cogna's total liability arising from the Services will be limited to the amount you paid to Cogna for the Services during the twelve months preceding the event giving rise to the claim, except where a different limitation is required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, business practices, or legal requirements.

When we make material changes, we may provide reasonable notice through the Services or other appropriate channels.

Your continued use of Cogna after updated Terms become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms will be governed by the applicable laws of the jurisdiction in which Cogna is established, without regard to conflict-of-law principles.

Any disputes will be handled in the courts having appropriate jurisdiction, unless otherwise required by applicable law or agreed to in a separate written agreement.
